How it works?
How to invest?
Becoming a shareholder in private/non-listed companies is now possible thanks to Olive Crowd.
Olive Crowd gives you access to companies with high growth potential in which you can invest freely by becoming a shareholder. You give meaning to your savings by investing directly in the capital of the company of your choice. Your funds will be used exclusively to finance the real economy.
Warning: Investment in the capital of start-ups and SMEs presents a risk of partial or total loss of invested capital as well as a risk of illiquidity.
Steps
The flow of funds
Once your payment has been made, the funds are transferred directly to an independent escrow account held by an escrow agent. These funds are only released once the campaign is successfully completed. They are then transferred to a holding company created for the shareholders. It is the Holding Company that will bring the funds to the target company and sign the shareholders' agreement. You are now a shareholder in this holding company and therefore in the target company.
Why create a holding company for investors?
When the financing objective is reached, all the investors are brought together in a holding company which will enter into the capital of the target company. The investors mandate an Independent Financial Adviser (IFA) to represent them on the company's management committee in order to advise the company on issues of business development, strategy, marketing, etc.
How to raise funds?
Can any business register and raise funds on our platform?
Only established SMEs (up to MUR 50 million turnover with a proven track record) and start-ups with the ability to demonstrate growth potential will be eligible to register on the platform.
How do eligible businesses register on the platform?
Eligible businesses will have to complete an online application form following which a screening will be performed by the IFA. The initial screening will be subject to a nominal Entry Fee. Once the initial screening is satisfied and the business agrees to our terms and conditions, it will be listed on our platform and be able to start raising funds.
Investor protection
The invested funds are blocked in an escrow account held by an independent escrow agent.
The due diligence and accounting of the companies financed is carried out by the IFA. This enables us to ensure regular monitoring and reporting of the companies financed.
A safeguard fund has been set aside to cater for repayment of investors capital in case of default
